CONTEST DESCRIPTION: The California Almonds "Crunch the Crash" Contest (the "Contest") is a skill-based essay contest presented by the Almond Board of California (the "Sponsor"). The Contest Entry Period begins at 12:00:01 AM Pacific Time ("PT") on Thursday, January 5, 2017 and ends at 11:59:59 PM PT on Wednesday, January 25, 2017 (the "Contest Entry Period"). The Contest Site's database clock will be the official timekeeper for the Contest.
The intent of the Contest is to invite participants to submit an essay, using 750 characters or less, sharing how you prevent or manage your afternoon energy crash. The Contest will include a round of judging to determine one (1) Grand Prize winner and two (2) Runner-Up Prize winners, all as further described herein.
HOW TO ENTER: During the Contest Entry Period visit www.almonds.com/CrunchtheCrashContest (the "Contest Site"), follow all instructions to complete the entry form in its entirety (including, without limitation, providing your name, phone number and email address), provide a short, unique essay, not to exceed 750 characters, sharing how you prevent or manage your afternoon energy crash (the "Essay"), and submit (the "Entry").
Limits: One (1) Entry per person. Each Entry must include an original Essay.
Although the Sponsor may receive multiple Entries from a participant, only the first complete Entry received from a particular participant will be eligible; subsequent attempts by the same person to enter, including Entries submitted with an alternate email address, will be disqualified. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. All completed Entries become the property of the Sponsor and will not be acknowledged or returned. Incomplete Entries will not be accepted and are void. Sponsor is not responsible for lost, late, incomplete, illegible, inaccurate, invalid, misdirected, undelivered or delayed Entries.
Participants must have a valid email address to enter and/or win. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's Entry and that participant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed to be the participant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winner may be required to show proof of being the authorized account holder.
ENTRIES POSTED TO THE CONTEST SITE REFLECT THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR OR CONTEST ENTITIES IN ANY MANNER.
ENTRY GUIDELINES: All Entries must comply with the following minimum entry requirements to be eligible. The Sponsor reserves the right in its sole and absolute discretion to reject, remove and/or disqualify any Entry that fails to conform to these requirements, guidelines and restrictions without any notification or warning.
· Essay must be original.
· Essay may not exceed 750 characters.
· Once an Essay is submitted, it cannot be modified by the Entrant.
· Entry and Essay cannot contain content that is irrelevant to the purpose of the Contest.
· Entry and Essay cannot be profane, pornographic, sexually explicit, or suggestive.
· Entry and Essay cannot be violent or promote firearms/weapons.
· Entry and Essay cannot promote alcohol, illegal drugs or tobacco.
· Entry and Essay cannot defame, misrepresent or contain disparaging remarks about people, brands, products or companies.
· Entry and Essay cannot be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious, professional or age group.
· Entry and Essay must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement.
· Entry and Essay cannot communicate messages inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate.
· Entry and Essay cannot depict illegal activity and cannot itself be in violation of any law.
· Entry and Essay cannot in any way reference persons or organizations without written permission from any person or organization whose name or likeness is used.
· Entry and Essay may not include reference of a known celebrity (with the exception of Jen Widerstrom), famous or well-known person or any content which violates the right of privacy or publicity of any person.
By submitting an Entry, entrants (or parent/legal guardian if entrant is deemed a minor in his/her state of residence) warrant, represent and agree that: (a) it is the Entrant's original work and has been legally created; (b) it has not been previously published or distributed in any media; (c) it has not been entered in or won previous contests or awards; (d) it does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral rights of any person or entity; (e) the entrant owns all rights, title, and interests in the Essay, including, without limitation, any copyrights, and represents and warrants that he/she has full authority to transfer all such rights to Sponsor if and as requested; (f) entrant will indemnify and hold harmless the Sponsor and the Contest Entities from any claims and damages (including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, the Entry, or entrant's conduct in creating the entry, the acceptance or use of any prize or otherwise in connection with this Contest; and (g) publication of the Essay via various media, including, but not limited to, posting on the Sponsor's websites and social media sites, will not infringe on any third-party rights. Sponsor reserves the right to remove, reject or disqualify (along with the Entrants who submitted them) any Essay which, in its opinion or the opinion of the Contest Administrator, violates these Official Rules or acts in a manner that is otherwise inappropriate, which shall be decided at the sole discretion of the Sponsor.
Except where prohibited by law, by participating in this Contest, Entrant grants Sponsor permission to use his/her name, Essay, hometown, photograph or image for future advertising and publicity purposes in any and all media without additional compensation, notification or permission. By submitting an Entry, Entrant grants the Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Essay in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Essay.
Entries made by any other individual or entity that is not the person named on the submitted Entry or made in any manner inconsistent with these Official Rules will be declared invalid and disqualified from this Contest.
JUDGING & WINNER DETERMINATION: All eligible Entries received during the Contest Entry Period will be judged by a panel of judges appointed by the Sponsor that will include employees of the Sponsor and Jen Widerstrom. Judging will be completed on/around Tuesday, January 31, 2017 (the "Judging Period") based on the following judging criteria:
A. Creativity (50%)
B. Passion of Submission (50%)
The entrant that receives the highest total score based on the judging criteria will be deemed the potential Grand Prize winner. The two (2) entries that receive the next highest total scores based on the judging criteria will be deemed the potential Runner-Up Prize winners.
In the event of a tie, the tied entrant with the highest score in Criterion A., Creativity, will be deemed the potential winner. If additional tie breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A. determining the potential winner from among the tied entries, the highest scores in each of Criteria B. will determine the potential winner. In the event an additional tiebreaker is needed, all tied Entries will be judged by a separate panel of judges using the judging criteria above. Judging scores are the property of the Sponsor and will not be disclosed.
PRIZES/APPROXIMATE RETAIL VALUE ("ARV"): There is one (1) Grand Prize and two (2) Runner-Up Prizes available to be won.
Grand Prize: One (1) Grand Prize winner will receive a prize package to include:
· A one-hour office party and staff workout session (the "Office Party") with Jen Widerstrom and the California Almonds -Crunch Squad?.*
· An "After Crash Survival Kit" to include:
o One (1) year supply of almonds**;
o One (1) wireless Bluetooth? Speaker;
o Up to five (5) wireless headphones to share with up to four (4) co-workers;
o Up to five (5) Yoga balls to share with up to four (4) co-workers; and
o Up to five (5) Yoga mats to share with up to four (4) co-workers.
Total ARV of the Grand Prize is $1,000. Any difference between the ARV and actual value of the Grand Prize will not be awarded.
*Office Party must be booked with the Sponsor prior to Wednesday, February 15, 2017 and take place between Tuesday, February 21, 2017 and Tuesday, February 28, 2017 or the Grand Prize will be forfeited in its entirety. The potential Grand Prize winner must provide the name and contact information of the office manager and/or company owner (the "Office Representative") of the potential Grand Prize winner's place of employment and the names and contact information of at least four (4) co-workers who will agree to attend the Office Party. Office Representative must agree to the Office Party, if the Office Party is to take place at the potential Grand Prize winner's place of employment. If the potential Grand Prize winner is self-employed or if the potential Grand Prize winner's Office Representative does not agree to the Office Party or if the Grand Prize winner's place of employment is deemed unsatisfactory by the Contest Entities in their sole discretion, the potential Grand Prize winner must find at least four (4) co-workers or friends (the "Co-Workers") who will agree to attend the Office Party at an alternate location of the Sponsor's choice or the Grand Prize will be forfeited in its entirety. Except where prohibited by law, the potential Grand Prize winner and Co-Workers must consent, and execute any required paperwork granting such consent, to be photographed by a photographer and/or recorded by a videographer appointed by the Sponsor during the Office Party, or the Grand Prize will be forfeited in its entirety.
Runner-Up Prizes: Two (2) Runner-Up Prize winners will each receive a prize package to include:
· One (1) year supply of almonds**,
· One (1) tote bag;
· Two (2) perfect portion snack tins; and
· One (1) portable power bank.
The ARV of each Runner-Up Prize is $270. Any difference between the ARV and actual value of the Runner-Up Prize will not be awarded.
** One (1) year supply of almonds will be sent to each winner in two (2) shipments, each shipment including twelve (12) 1 lb. bags of almonds. Each winner will receive one (1) shipment in February 2017 and one (1) shipment in August 2017.
PRIZE NOTIFICATION & ACCEPTANCE:
Grand Prize Winner Notification & Prize Acceptance Requirements: The potential Grand Prize winner will be notified by email and/or phone on or about Wednesday, February 1, 2017 and will be required to provide the names and contact information for his/her Office Representative and at least four (4) Co-Workers and sign and return an Affidavit of Eligibility & Liability Waiver, a W-9 Form and where allowable, a Publicity Release (collectively, "the Releases") within seventy-two (72) hours of notification. The Releases will require the Grand Prize winner to furnish his/her Social Security Number for the purpose of tax reporting, as required by law, and for the purpose of a background check. If the potential Grand Prize winner cannot be contacted in person via email and/or telephone after the first attempt to contact him/her, or if he/she fails to sign and return the Releases or other required documentation within the required time period (if applicable), or if potential Grand Prize winner and his/her Co-Workers are unavailable to participate in the Office Party within any time period specified by Sponsor, or in the event that a potential Grand Prize winner is disqualified for any reason, an alternate winner with the next highest judging score may be notified. Only two (2) alternate winners may be determined through this process, after which the prize will remain un-awarded.
Potential Grand Prize winner will also be required to submit to a background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Contest will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest or Sponsor, as determined by Sponsor in its sole discretion. Sponsor reserves the right to disqualify a potential Grand Prize winner on the basis of the findings resulting from such background check or if a potential Grand Prize winner fails to properly authorize and/or provide the required information in connection with such background check.
Runner-Up Prize Winner Notification & Prize Acceptance Requirements: The potential Runner-Up Prize winners will be notified by email and/or phone on or about Wednesday, February 1, 2017 and will be required to confirm his/her full name, date of birth and mailing address within seventy-two (72) hours of notification. If a potential Runner-Up Prize winner cannot be contacted in person via email and/or telephone after the first attempt to contact him/her, or if he/she fails to confirm his/her name, date of birth and mailing address within the required time period, or in the event that a potential Runner-Up Prize winner is disqualified for any reason, an alternate winner with the next highest judging score may be notified. Only two (2) alternate winners may be determined through this process, after which the prize will remain un-awarded.
If a potential winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence, the prize will be awarded in the name of the potential winner's parent or legal guardian who will be required to execute and return the Releases on minor's behalf.
POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR AND/OR CONTEST ADMINISTRATOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT'S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.
PRIZE CONDITIONS: SPONSOR AND CONTEST ENTITIES SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF PRIZE WINNER, OFFICE REPRESENTATIVE, OR CO-WORKERS? ACCEPTANCE OR USE OF THE PRIZE.
Office Party arrangements must be made through Sponsor's agent. Grand Prize winner must be available for Office Party and find at least four (4) Co-Workers to participate in the Office Party on dates specified by Sponsor or risk forfeiting the Grand Prize in its entirety. Certain restrictions may apply. No refund or compensation will be made in the event of the cancellation or delay of the Office Party except at the sole discretion of Sponsor. If weather or other incident or conditions beyond the control of the Sponsor affects the ability for the Grand Prize winner and his/her Co-Workers to redeem any portion of Grand Prize during the scheduled date and time, then the Sponsor shall have no further obligation to the Grand Prize winner other than to supply the remaining elements of the prize package minus the unused portion of prize. Grand Prize winner's Co-Workers must be legal U.S. residents, and the age of 18 or older. Co-Workers must complete and return a Liability & Publicity Release prior to Office Party. In the event Jen Widerstrom is unavailable or the opportunity to meet with Jen Widerstrom is cancelled for reasons beyond the Sponsor's control, Grand Prize winner understands and agrees that the opportunity to meet with Jen Widerstrom has NO CASH VALUE and that the Grand Prize will consist solely of the remaining Grand Prize elements described in these Official Rules, specifically excluding the Office Party. In connection with the foregoing, and except as determined by Sponsor in its sole discretion, no substitution of the remailing prize will be offered.
Prizes are not redeemable for cash. Prizes are non-assignable and not transferable. No substitution is permitted except if prize is unavailable, in which case a prize of equal or greater value will be awarded. Any other incidental expenses on prize not specified herein are the winner's sole responsibility. Sponsor will not replace any lost or stolen components of prize. Only the number of prizes stated in these Official Rules is available to be won in the Contest.
Prize winners are responsible for all federal, state, local and income taxes associated with winning prize. Grand Prize winner will be required to furnish his/her social security number for the sole purpose of preparation of any tax forms as required by law.
Prize components are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Prize winners acknowledge that the Sponsor and all other businesses affiliated with this Contest and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the prize being offered, except that each merchandise prize shall be subject to its manufacturer's standard warranty (if any).
GENERAL: This Contest is governed by the laws of the United States. Participants agree to these Official Rules and the decisions of the Contest Administrator and the Sponsor, which are final and binding in all matters relating to the Contest. Failure to comply with these Official Rules may result in disqualification from the Contest. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize. Entries, materials, and data relating to this Contest that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Sponsor is not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive registration information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to participant's or any other person's computer related to or resulting from participating in the Contest. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to permanently disqualify from any Contest it sponsors any person it believes has intentionally violated these Official Rules, attempted to tamper with or undermine the entry process, Contest Site, and/or the legitimate operation of this Contest, or has acted in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Contest is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Contest (or any portion thereof); (b) modify the Contest or suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; and/or (c) determine a winner from among the eligible, non-suspect entries received up to the time of the impairment. Sponsor is not responsible for the incompatibility of participant's hardware, software or browser technology with Sponsor's hardware, software or browser technology.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR TO INTERFERE WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
DISPUTES: Except where prohibited, participant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the state of California without giving effect to any choice of law or conflict of law rules (whether of the state of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of California. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney's fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief.
THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
PUBLICITY; LIMITATIONS OF LIABILITY AND RELEASES: BY PARTICIPATING IN THIS CONTEST, PARTICIPANT AGREES THAT THE CONTEST ENTITIES AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE "RELEASED PARTIES") WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY PARTICIPANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS CONTEST OR IN ANY CONTEST-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM. NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF: Each entrant understands and acknowledges that Sponsor has wide access to ideas, designs, and other materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each entrant also acknowledges that many ideas may be competitive with, similar or identical to the Submission and/or each other in theme, idea, format or other respects.
